FATO RELEVANTE Cancelamento da AGE de 27 de novembro de 2020  TOTVS S.A. (B3: TOTS3) (“Companhia” ou “TOTVS”) informa que, tendo em vista as deliberações tomadas pelos acionistas da Linx S.A. em sua assembleia geral extraordinária realizada em 17 de novembro de 2020, o Conselho de Administração da TOTVS resolveu cancelar a Assembleia Geral Extraordinária da Companhia convocada para o dia 27 de novembro de 2020 (“AGE”). Fica, portanto, sem efeito o Edital de Convocação publicado no Diário Oficial do Estado de São Paulo nas edições de 29,30 e 31 de outubro de 2020 (págs. 28, 14 e 13) e no jornal Valor Econômico nas edições de 29, 30 e 31 de outubro de 2020 (págs. E4, E3 e E2), bem como os boletins de voto à distância relativos à AGE cancelada, os quais serão descartados. Nesse mesmo sentido, a Companhia solicitará (i) a retirada do formulário de registro F-4 junto à Securities and Exchange Commission – SEC e (ii) o arquivamento do procedimento junto ao Conselho Administrativo da Defesa da Concorrência – CADE, por perda de objeto, continuando a atuar como terceiro interessado na operação Stone-Linx, tendo em vista que tal operação gera preocupações concorrenciais. (B3: TOTS3) (the “Company” or “TOTVS”) informs that in view of the resolutions taken by the shareholders of Linx S.A. at the extraordinary general meeting held on November 17, 2020, the Board of Directors of TOTVS decided to cancel the Extraordinary General Meeting of the Company convened for November 27, 2020 (“EGM”). Therefore, the Call Notice published in the Official Gazette of the State of São Paulo in the editions of 29, 30 and 31 October 2020 (pages 28, 14, and 13) and in the Valor Econômico newspaper in the editions of October 29, 30 and 31, 2020 (pages E4, E3 and E2) hereby becomes ineffective, as well as the distance voting ballots related to such canceled EGM, which will be discarded. Accordingly, the Company will request (i) the withdrawal of the registration form F-4 that had been filed with the Securities and Exchange Commission - SEC and (ii) the filing of such procedure with CADE - the Brazilian Antitrust Agency, for loss of purpose, and the Company will continue to act as a third party interested in the Stone-Linx transaction, considering that such transaction raises competitive concerns.
